THE Premier Service Medical Aid Society will next week hold its Annual General Meeting following the adoption of the interim management’s report covering June 2014 to May 2015 at a special meeting held in Harare last week.PSMAS head of communications and stakeholder relations Mavis Gumbo said the AGM, which is expected to see normalisation of operations at the troubled medical aid society, would take place on June 9 in Harare.

Gumbo said the AGM was expected to see the appointment of three directors to the PSMAS board.

“The incoming board will be selected based on the new constitutional amendments, as recommended by the chairman in his report,” she said.

The amendments also include appointment of three other representatives from the civil service and two from private organisations.

Civil servants comprise 80 percent of PSMAS members, while private organisations comprise the remaining 20 percent.

PSMAS previous board chairperson Meisie Namasasu was forced to resign after allegations she approved obscene salaries and perks for the society’s group chief executive officer and his top managers at the expense of service delivery.

The remaining board members later dissolved themselves to pave way for a new era at the troubled society.

In their last public statement, the last PSMAS board proposed a speedy appointment of a new board, a substantive CEO, completion of a forensic audit and review of the PSMAS constitution.

The board also recommended the alignment of PSMAS operational practices and systems to best practices in corporate governance, finalising re-alignment of conditions of service of staff to the market and industry trends, among other interventions.

The PSMAS constitution has since been amended, a new managing director has been appointed, management’s salary structure has been reviewed and the forensic audit has been completed.

Presenting his report last week, PSMAS interim manager Dr Gibson Mhlanga said the draft forensic audit report would be presented to the incoming board for its action.

“I’ve received the draft audit report,” he said. “Appropriate recommendations based on the final report will be made to the incoming society’s board of directors.”
